Terms of Service

These Terms and Conditions of Service ("Terms and Conditions" or "Agreement") govern your access to and use of the services, platforms, software, and related documentation provided by PT. SICHA SADA TECHWORKS / SICHA TECHWORKS (hereinafter referred to as "We" or "Service Provider") to you (hereinafter referred to as "You" or "User/Licensee").

By accessing and using this Service Platform, you acknowledge that you have read, understood, and agree to all of the Terms and Conditions set forth below.

  1. TERMS OF USE

    The Service Platform is provided to you, the User, conditioned on your acceptance of the terms, conditions, and notices contained or referenced in this document, as well as any additional terms and conditions, agreements, and notices that may apply to any page or section of this Service Platform.

  2. OVERVIEW

    Your use of this Service Platform constitutes your agreement to all terms, conditions, and notices. Please read carefully. By using this Service Platform, you agree to these Terms and Conditions, as well as any other terms, guidelines, or rules applicable to any part of this Service Platform, without limitation or qualification. If you do not agree to these Terms and Conditions, you must immediately exit this Service Platform and discontinue use of any information or products from this Service Platform.

  3. CHANGES TO THE SERVICE PLATFORM AND TERMS & CONDITIONS

    We reserve the right to change, modify, update, or discontinue the terms, conditions, and notices applicable to this Service Platform, as well as any links, content, information, prices, and other materials offered through this Service Platform at any time and from time to time without notice or further obligation to you, except as set forth herein. We reserve the right to adjust prices from time to time. If for any reason there is an error in pricing, we reserve the right to reject any order. By using this Service Platform following any such change, modification, or update, you agree to be bound by such change, modification, or update.

  4. LICENSE GRANT

    We grant you the right to access and use the Licensed Software Platform solely for your internal business purposes during the term of this Agreement. This right is non-exclusive, non-transferable, and limited to and subject to the terms of this Agreement.

    You may not:

    1. Modify, adapt, decompile, disassemble, or reverse engineer any component of the Licensed Software Platform;
    2. Create derivative works based on any component of the Licensed Software Platform;
    3. Permit any third party to use or access any component of the Licensed Software Platform or Supporting Documentation.
  5. PROPRIETARY RIGHTS

    You acknowledge and agree that:

    1. The Licensed Software Platform and Documentation belong to Us or our licensors and not to you; and
    2. You will use the Licensed Software Platform and Documentation only in accordance with the terms and conditions described in this Agreement.
  6. FEES

    In exchange for the license granted, you must pay Us a license fee (the "License Fee") in accordance with the fee schedule set forth on the Pricing page of the Service Platform. The License Fee does not include VAT and will be invoiced monthly and charged to the Licensee's agreed-upon payment method (such as a credit card or other payment method). All such invoices will be sent to the Licensee's email address specified as part of the registration process. You must pay all sales, use, and excise taxes, and other taxable assessments, regardless of designation, on the Licensed Software Platform or its license, or on the use or proceeds of this Agreement, unless you provide Us with a certificate of exemption from such tax in a form reasonably acceptable to Us.

  7. ELIGIBILITY

    These Terms and Conditions apply to:

    1. Use for evaluating the Licensed Software Platform, including through prototypes available in Preview; or
    2. Use by small independent developers, students, academic staff, or hobbyists.
  8. SUPPORT

    As a Service licensee, you will receive 24/7 monitoring and dashboard reports according to the service level purchased, and you can contact Our Support by submitting a support ticket to support@sichatechworks.com. You can also access Our support resources at www.sichatechworks.com. Higher levels of support are subject to a separate license from Us.

  9. TERMINATION PROVISIONS

    We, in our sole discretion, may suspend or terminate this Agreement with immediate effect if:

    1. We suspect that you are harming the Licensed Software Platform; or
    2. You are in material breach of your obligations under this Agreement; or
    3. You cease business or are unable to pay your debts; or
    4. You are unable or may become unable to fulfill your obligations under this Agreement.

    If this Agreement is terminated, you agree to return or ensure the destruction of all copies of the Licensed Software Platform (including the SDK) and Documentation, and all amounts owed by you under this Agreement will immediately become due and payable.

  10. CONFIDENTIALITY

    You may disclose Confidential Information to your directors or employees or any member of your group who requires access to it for the purposes of this Agreement; and/or professional advisors under appropriate confidentiality terms.

  11. SERVICE PROVIDER'S WARRANTIES AND RESPONSIBILITIES

    We warrant and covenant to you that:

    1. We will use reasonable efforts to provide the Services and perform them with reasonable care and skill in accordance with the terms of this Agreement; and
    2. We have the full right, power, and authority to provide the Services to you in accordance with the terms of this Agreement.
  12. YOUR OBLIGATIONS AND WARRANTIES

    You warrant and covenant to us that you own the Intellectual Property Rights in the Licensed Content and have the full right to use the Licensed Content for the purposes contemplated in this Agreement. You further warrant that:

    1. The Licensed Content will not contain any viruses, worms, Trojan horses, or other malicious code;
    2. The Licensed Content will not violate the guidelines available on the relevant devices and stores on which the Licensed Content will be released;
    3. The Licensed Content will not be unlawful, threatening, abusive, harmful, malicious, obscene, pornographic, profane, defamatory, or libelous under the laws of any jurisdiction in which the Service Platform or Licensed Content may be accessed.
  13. SECURITY

    We will take all reasonable steps to prevent security breaches in interactions between Our servers and you and security breaches in interactions with resources or users outside any firewalls that may be integrated into Our servers.

  14. PRIVACY POLICY

    Your information is secure with us. We understand that privacy is very important to our customers. You can be assured that any information you submit to us will not be misused or sold to third parties. We only use your personal information to fulfill orders, provide the Services, and manage your account in accordance with Our Privacy Policy, which can be accessed at www.sichatechworks.com.

  15. APPLICABLE LAW

    These Terms and Conditions are governed by and construed in accordance with the laws of the Republic of Indonesia. Any disputes arising from or in connection with these Terms and Conditions will be resolved through deliberation to reach a consensus, and if no such agreement is reached, will be resolved through a competent court in Indonesia.
